Terms of Service.

Last updated May 2, 2026 · Effective May 2, 2026

These Terms of Service (“Terms”) are a binding contract between you and periEd (“periEd,” “we,” “us,” or “our”) operated by [LEGAL ENTITY NAME], a [STATE] [LLC/CORPORATION]. By creating an account, signing in, or using periEd's websites, mobile experiences, or services (collectively, the “Service”), you agree to these Terms, our Privacy Policy, and our Medical Disclaimer. If you do not agree, do not use the Service.

Read these carefully. They include disclaimers, a limitation of liability, an arbitration agreement, and a class-action waiver. They limit how you can sue us and how much we can be liable for.

1. Who can use periEd

You must be at least 18 years old and have the legal capacity to enter into a binding contract. periEd is not designed for, and should not be used by, anyone under 18. By creating an account, you represent and warrant that you meet these requirements.

You must use the Service for personal, non-commercial purposes only. You may not use the Service on behalf of another person or entity without their explicit, documented permission.

2. Your account

You sign in to periEd using a one-time email link (“magic link”). You are responsible for keeping access to your email account secure. We are not responsible for unauthorized access that results from compromise of your email provider, your devices, or shared access you grant.

Tell us promptly if you believe your account has been accessed without your permission by emailing [[email protected]].

3. The Service is education and self-tracking — not medical care

periEd is not a medical device. Nothing in the Service is medical advice, diagnosis, or treatment. The Service does not establish a clinician-patient relationship. See our Medical Disclaimer for full detail.

Information surfaced by the Service — including symptom patterns, AI-generated answers, suggested questions, articles, and lab interpretations — is for informational and educational purposes only. You should always consult a qualified healthcare provider before starting, stopping, or changing any medication, supplement, or treatment, and before acting on anything you learn through the Service.

The Service is not for emergencies. If you are experiencing a medical emergency, call your local emergency number or go to the nearest emergency department.

4. AI features

Some features of the Service use large language models, including models provided by Anthropic, PBC. AI-generated content can be incomplete, inaccurate, biased, or out of date. You should treat all AI output as a starting point for your own thinking and conversation with a clinician — not as a definitive answer.

We send relevant context from your profile and recent activity to the AI provider so that responses are personalized to you. Our AI subprocessors do not use this content to train their models.

5. Health information consent

To use the Service, you give us your express consent to collect, store, and process health-related information about you, including information that is “consumer health data” under the Washington My Health My Data Act and analogous laws, as well as “special category data” under the EU/UK GDPR if applicable. We process this information solely to provide the Service to you. You can withdraw your consent at any time by deleting your account (Settings → Your data → Delete your account), and we will permanently delete your data as described in our Privacy Policy.

6. Subscriptions and billing

The Service offers a Free tier and a paid “Pro” subscription. Pro is billed monthly or annually in advance through our payment processor, Stripe, Inc. By subscribing, you authorize us (through Stripe) to charge your selected payment method on a recurring basis until you cancel.

Auto-renewal. Your subscription renews automatically at the end of each billing period at the then-current rate for your plan. You can cancel any time from Settings → Billing; cancellation stops the next renewal but does not refund the current period.

Refunds. All payments are non-refundable except where required by applicable law. We may, at our sole discretion, offer a refund or credit in exceptional circumstances.

Price changes. We may change Pro prices. We will give you at least 30 days' notice by email before any price change applies to your subscription. If you do not want to pay the new price, you can cancel before it takes effect.

Failed payments. If a charge fails, we may suspend or downgrade your access until payment is current. You are responsible for keeping your payment method up to date.

Taxes. Prices shown do not include applicable taxes. You are responsible for any sales, use, or value-added taxes owed on your subscription.

7. Acceptable use

You agree not to:

  • Use the Service for any unlawful purpose or in violation of these Terms;
  • Reverse engineer, decompile, scrape, or otherwise attempt to extract source code, AI model weights, or training data from the Service;
  • Use the Service to develop a competing product, train an AI model, or systematically harvest content;
  • Submit content that infringes another person's rights, is unlawful, or contains another person's personal information without their consent;
  • Probe, scan, or test the security of the Service except under a written security-research authorization from us;
  • Interfere with the Service's operation, including overloading servers, abusing rate limits, or circumventing our quota or access controls;
  • Use the Service to transmit malware or harmful code;
  • Misrepresent your identity, impersonate another person, or use the Service on behalf of someone who has not authorized you to do so.

We may suspend or terminate accounts that violate these rules.

8. Your content; license to operate the Service

You own the data and content you input into the Service (your “Content”), including profile data, logs, notes, lab results, and conversation history. We do not claim ownership of your Content.

You grant us a limited, non-exclusive, royalty-free license to use, copy, store, transmit, and process your Content solely as necessary to operate, maintain, and improve the Service for you. We do not use your Content to train AI models, and we do not allow our subprocessors to do so. We do not use your Content to advertise to you.

You are responsible for the accuracy of the information you give us. We rely on it to personalize the Service and to generate AI output; inaccurate input can produce inaccurate output.

9. Feedback

If you give us feedback, suggestions, or ideas about the Service, you grant us a perpetual, worldwide, royalty-free, irrevocable license to use them without obligation to you.

10. Our intellectual property

The Service, including its software, content, designs, logos, and trademarks (other than your Content), is owned by periEd or our licensors and is protected by copyright, trademark, and other laws. We grant you a limited, personal, non-exclusive, non-transferable, revocable license to use the Service for your personal, lawful, non-commercial purposes in accordance with these Terms. Nothing in these Terms transfers any of our intellectual property to you.

11. Third-party services

The Service depends on third-party providers (including those listed in our Privacy Policy). The Service may also contain links to third-party websites or resources. We are not responsible for the availability, accuracy, or privacy practices of any third party. Your use of third-party services is governed by their own terms and policies.

12. Termination

You can stop using the Service at any time and delete your account from Settings → Your data.

We may suspend or terminate your account and access to the Service at any time, with or without notice, if we reasonably believe you have violated these Terms, threaten the safety or operation of the Service, or use the Service in a way that creates legal risk for us or others. Where reasonable, we will provide notice and an opportunity to cure.

On termination: your right to use the Service ends immediately. We will delete your data in accordance with our Privacy Policy. Sections of these Terms that by their nature should survive termination will survive (including ownership, disclaimers, limitation of liability, indemnification, and dispute resolution).

13. Disclaimers

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS, IMPLIED, AND STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ANY WARRANTY ARISING FROM COURSE OF DEALING OR USAGE OF TRADE.

WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR ACCURATE; THAT AI OUTPUT WILL BE CORRECT, COMPLETE, OR APPROPRIATE FOR YOUR SITUATION; OR THAT THE SERVICE WILL MEET YOUR REQUIREMENTS. YOU USE THE SERVICE AT YOUR OWN RISK.

14. Limitation of liability

TO THE FULLEST EXTENT PERMITTED BY LAW: (A) NEITHER WE NOR OUR AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS WILL BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUES, DATA, GOODWILL, OR USE, WHETHER ARISING OUT OF CONTRACT, TORT, STRICT LIABILITY, OR ANY OTHER LEGAL THEORY, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES; AND (B) OUR TOTAL CUMULATIVE LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE WILL NOT EXCEED THE GREATER OF (i) THE AMOUNTS YOU PAID US FOR THE SERVICE IN THE TWELVE (12) MONTHS BEFORE THE EVENT GIVING RISE TO LIABILITY, OR (ii) ONE HUNDRED U.S. DOLLARS ($100).

Some jurisdictions do not allow certain limitations of liability, so some of the above may not apply to you. Our liability is limited to the maximum extent permitted by law in your jurisdiction.

15. Indemnification

You will defend, indemnify, and hold harmless periEd and our affiliates, officers, directors, employees, and agents from any claim, demand, loss, damage, liability, cost, or expense (including reasonable attorneys' fees) arising out of or related to: (a) your use of the Service; (b) your Content; (c) your violation of these Terms; or (d) your violation of any law or third-party right.

16. Dispute resolution; arbitration; class-action waiver

Please read this carefully. It affects your rights, including your right to file a lawsuit in court.

Informal resolution first. Before filing any formal claim, you agree to email us at [[email protected]] with a description of your claim and what relief you are seeking. We will try to resolve the dispute informally for at least 60 days before either party initiates arbitration.

Binding arbitration. If we cannot resolve the dispute informally, you and periEd agree that any dispute, controversy, or claim arising out of or relating to these Terms or the Service will be resolved by binding individual arbitration administered by JAMS under its applicable rules. The arbitration will be held in [CITY, STATE] (or by video conference at your election), and the arbitrator's decision will be final and binding. The Federal Arbitration Act governs the interpretation and enforcement of this section.

Class-action waiver. You and periEd agree to bring claims only in your individual capacity and not as a plaintiff or class member in any class, collective, or representative proceeding. The arbitrator may not consolidate more than one person's claims and may not preside over any form of representative or class proceeding.

Exceptions. Either party may bring an individual claim in small-claims court for disputes within that court's jurisdiction, and either party may seek injunctive relief in court to protect intellectual property rights.

Right to opt out. You may opt out of this arbitration agreement by emailing [[email protected]] within 30 days of first accepting these Terms with the subject line “Arbitration Opt Out.” If you opt out, neither party can compel arbitration.

Time limit. Any claim arising out of or relating to these Terms or the Service must be brought within one (1) year after the cause of action arose, or it is permanently barred.

17. Governing law

These Terms and any dispute arising out of them are governed by the laws of the State of [STATE], United States, without regard to conflict of laws principles. Subject to the arbitration agreement above, the exclusive jurisdiction and venue for any action not subject to arbitration is the state and federal courts located in [COUNTY, STATE].

18. Changes to these Terms

We may update these Terms from time to time. If we make a material change, we will notify you by email or through an in-app notice at least 14 days before the change takes effect (or as required by law). Your continued use of the Service after the effective date of a change constitutes acceptance of the updated Terms. If you do not accept the updated Terms, you must stop using the Service and may delete your account.

19. Miscellaneous

  • Entire agreement. These Terms, together with our Privacy Policy and Medical Disclaimer, are the entire agreement between you and us about the Service and supersede any prior agreements.
  • No assignment. You may not assign these Terms without our prior written consent. We may assign these Terms in connection with a merger, acquisition, or sale of assets.
  • Severability. If any provision of these Terms is held unenforceable, the remaining provisions remain in full effect.
  • No waiver. Our failure to enforce any provision is not a waiver of our right to enforce it later.
  • Force majeure. We are not liable for delays or failures caused by events outside our reasonable control.
  • Notices to us. Send legal notices to [[email protected]] with a copy to [POSTAL ADDRESS].
  • Notices to you. We will send notices to the email address on your account.
